Constitution The Somborne Players Constitution 1
The society shall be known as The Somborne Players. 2
The aims and objects of the society shall be to
promote interest in and enjoyment of the performing arts, in pursuance of
which the society may: §
promote and produce dramatic and other performances
both in the village and in the surrounding area. §
sponsor courses of training in the performing arts
and techniques of direction, production and stagecraft. §
arrange social events, excursions and visits. §
liaise with any other organisation (statutory,
commercial or voluntary) or affiliate to any body where it appears that it
would be to the society’s interest and advantage to do so. §
purchase, hire, make and let out for hire costumes,
scenery, lighting and amplification equipment. §
hire premises for rehearsals, meetings and social
events. 3
Full membership of the society shall be open to any
person over the age of 16 who accepts the rules and regulations of the
society. 4
The individual membership subscription shall be
£5.00 with a special rate of £2.50 for any person in full time education. The
subscription may only be changed at an Annual General Meeting on a motion of
which due notice has been given which is carried by a majority of those
present and entitled to vote. 5
The committee may terminate the membership of any
member whose subscription remains unpaid one month from the date on which
payment is due. 6
A member desiring to withdraw from the society must
give notice in writing to the secretary at least four weeks before payment of
his/her subscription for the following year is due, otherwise the
subscription for that following year shall be payable. 7
The committee shall have power to allow non-members
to attend meetings, auditions or social events. 8
i The
society shall be managed by a committee consisting of the following officers: Chairman Secretary Treasurer together with not more than 8 other members. ii The committee shall be elected at the
Annual General Meeting, and subject to termination of office by resignation
or otherwise, shall remain in office until the next Annual General Meeting
when they shall resign and be eligible to stand for re-election. iii The committee shall have the power to
co-opt further members to fill casual vacancies between Annual General
Meetings, and to appoint a President and Vice-President (who need not be
members of the society) and to set up sub-committees which may include
members who are not committee members. iv A quorum at committee meetings shall be
five members, including officers. 9
The Annual General Meeting of the society shall be
held in each calendar year and all members whose subscriptions are fully paid
up to date shall be entitled to attend and vote. The secretary shall give to
the members not less than 14 days clear notice in writing of the date, time
and place fixed for the Annual General Meeting together with an agenda and
full details of any motion to be put before the society at the meeting. 10
Any member wishing to propose a motion for
discussion at an Annual General Meeting shall be entitled to have it included
in the business of the meeting provided that he/she gives the secretary a
signed memorandum of the motion, in reasonable time for the secretary to
include it in the notice of the AGM. 11
Audited accounts shall be laid before the AGM for
the year to 31 December preceding the meeting. 12
A quorum at the Annual General Meeting shall be 25%
of the members entitled to vote or 15, whichever is the least. 13
If the number of members of the society shall fall
below 10 or if the society in general meeting shall pass a motion of
dissolution of which due notice shall have been given to the membership as if
the meeting were an AGM, them the society shall be wound up and any assets
belonging to it shall be sold and all funds applied first in discharging any
debts incurred on behalf of the society and any balance will be paid to (?) Last updated at
