The Somborne Players Constitution

 

1        The society shall be known as The Somborne Players.

2        The aims and objects of the society shall be to promote interest in and enjoyment of the performing arts, in pursuance of which the society may:

§         promote and produce dramatic and other performances both in the village and in the surrounding area.

§         sponsor courses of training in the performing arts and techniques of direction, production and stagecraft.

§         arrange social events, excursions and visits.

§         liaise with any other organisation (statutory, commercial or voluntary) or affiliate to any body where it appears that it would be to the society’s interest and advantage to do so.

§         purchase, hire, make and let out for hire costumes, scenery, lighting and amplification equipment.

§         hire premises for rehearsals, meetings and social events.

3        Full membership of the society shall be open to any person over the age of 16 who accepts the rules and regulations of the society and to any person between 7 and 15 with written consent from parent/guardian.

4        Family, Adult and Junior membership shall be available, with Family membership covering 3 or more persons at the same address and Junior membership available for any person in full time education. The subscription may only be changed at an Annual General Meeting on a motion of which due notice has been given which is carried by a majority of those present and entitled to vote.

5        The committee may terminate the membership of any member whose subscription remains unpaid one month from the date on which payment is due.

6        A member desiring to withdraw from the society must give notice in writing to the secretary at least four weeks before payment of his/her subscription for the following year is due, otherwise the subscription for that following year shall be payable.

7        The committee shall have power to allow non-members to attend meetings, auditions or social events.

8        i   The society shall be managed by a committee consisting of the following officers:

Chairman

Secretary

Treasurer

together with 3 other members and the power to co-opt.

ii   The committee shall be elected at the Annual General Meeting, and subject to termination of office by resignation or otherwise with a requested notice period of four weeks, shall remain in office until the next Annual General Meeting when they shall resign and be eligible to stand for re-election.

iii   The committee shall have the power to co-opt further members to fill casual vacancies between Annual General Meetings, and to appoint a President and Vice-President (who need not be members of the society) and to set up sub-committees which may include members who are not committee members.

iv   A quorum at committee meetings shall be 4 members including at least one named officer.

v    The Chairman shall stand for a maximum of 4 years, then stand down and not stand again as Chairman for at least a year.

9        The Annual General Meeting of the society shall be held in each calendar year and all members whose subscriptions are fully paid up to date shall be entitled to attend and vote. The secretary shall give to the members not less than 14 days clear notice in writing of the date, time and place fixed for the Annual General Meeting together with an agenda and full details of any motion to be put before the society at the meeting.

10    Any member wishing to propose a motion for discussion at an Annual General Meeting shall be entitled to have it included in the business of the meeting provided that he/she gives the secretary a signed memorandum of the motion, in reasonable time for the secretary to include it in the notice of the AGM.

11    Audited accounts shall be laid before the AGM for the year to 31st March preceding the meeting.

12    A quorum at the Annual General Meeting shall be 25% of the members entitled to vote or 15, whichever is the least.

13    If the number of members of the society shall fall below 10 or if the society in general meeting shall pass a motion of dissolution of which due notice shall have been given to the membership as if the meeting were an AGM, them the society shall be wound up and any assets belonging to it shall be sold and all funds applied first in discharging any debts incurred on behalf of the society and any balance will be paid to one or more village organisations to be chosen by the dissolution committee.

14 i    There will be open start up meetings for paying productions which are

     advertised to all members and advertised publicly if desired.

14 ii   The director’s decision on casting for these productions must be approved

     by the committee.
